LifeQuest acquired an established Pacific Northwest waste management equipment company comprising two Oregon corporations, serving businesses, institutions, and municipalities in Oregon, Washington, Idaho, and Montana.

The acquired business generated approximately $3.5 million in revenue for fiscal year 2025.

The transaction was an all-equity acquisition with no cash at closing. LifeQuest issued 3,338,290 shares of Series B Preferred Stock (convertible into 100 common shares each, with 100 votes per share) and an $85,000 unsecured promissory note at 6% interest, maturing in six months.

The acquisition closed effective June 12, 2026, pursuant to a Stock Purchase Agreement dated June 12, 2026.

Max Khan, CEO of LifeQuest World Corp., also serves as CEO of both acquired entities.

The acquisition transforms LifeQuest from a development-stage holding company into a revenue-generating, multi-subsidiary environmental services platform, adding immediate revenue and a diversified customer base.

LifeQuest plans to pursue PCAOB audit, SEC registration, and OTCQB uplisting, building on the combined platform.

The acquired business offers equipment sales & service, equipment rentals, installation, preventive maintenance contracts, and specialty cleaning services.

On a GAAP basis, the combined entities reported a net loss before income taxes of approximately $(4,400), essentially breakeven, after non-recurring non-cash charges of $94,200 (inventory write-down) and $121,000 (capital equipment expensed).
